GoerTek Inc. is a joint-venture company with more than 2300 employees including 300 managers and engineers. GoerTek is focused on the development, manufacture and sale of microphone, receiver and speaker. We provide electro-acoustic parts for consumer electronic products such as mobile, earphone and telephone.
GoerTek is the largest ECM manufacturer with expertising in acoustic products in China. 80% products are exported throughout the world, including Europe, America and Japan. Many world-famous companies, such as Panasonic, Uniden, Shure, Inventec, Lenovo, Aomi are our customers.
GoerTek has rich experience and strong capabilities in the manufacture of acoustic products. It is the first internal acoustic company to pass ISO9001 : 2000 and ISO14001 : 1996 system certification. We devote ourselves to providing our customers with products of high quality, advanced functionality and good quality/price ratio through various ways such as strict quality control, advanced technology research and development, precise modelling, automatic manufacturing and worksite management. ?? 受春节因素影响,歌尔声学开工率在08 年12 月份迅速下降的基础上,09 年1 月份进一步下降至50%以下,我们预期月度营收在4000 万附近。2 月份开工率有所恢复,回升至60%附近,月度营收在5000 万左右。3 月份由于蓝牙耳机上量,使得开工率进一步回升至70%以上。我们初步预期1 季度营收下降幅度在30-50%之间,规模效应的丧失,将推动利润更深幅度的下跌。依照歌尔声学营收情况测算,1 月份可能处于亏损水平,2 月份已回到盈亏平衡之间。如果3 月份订单情况保持目前的趋势,预期公司1 季度将能实现盈利。?? 受实体经济影响,全球品牌终端厂商加强了成本控制,这为国内供应商提供了承接转移产能的机会。歌尔声学近期蓝牙耳机订单情况的好转即源于这一因素的影响。我们预期在经济危机影响下,这一进程将得以加快,公司核心客户缤特力将可能把更多的订单向歌尔转移。与此同时,歌尔声学致力于在成品方面成为索尼、哈曼等品牌厂商的合作伙伴。?? 在零部件方面,歌尔声学采取了曲线递进的销售策略,先选择与品牌厂商的配套厂商进行ODM、OEM 合作,再选择与品牌厂商直接合作。以诺基亚为例,歌尔声学是其直接配套商——星电的合作伙伴。由于清理库存压力,11 月下旬以来,公司来自星电的订单出现调整。而歌尔声学与诺基亚的直接合作协商进程则在加快,我们预期两家公司可能先在一个系列产品中展开合作,未来不排除全面合作的机会。?? 歌尔声学将贯彻大客户策略,利用行业调整机会加强新技术、新产品的研发进度,未来进一步扩大与全球主要品牌厂商合作的空间。在诺基亚之后,歌尔声学将利用驻美子公司渠道优势,寻找与苹果、蓝莓等厂商合作的机会。
今年一季度,歌尔声学业绩下滑80%—100%。金融危机之下,下游需求减少给公司带来的影响显现出来。然而,“危机中又见机遇”,曾经的蓝牙耳机制造巨头缤特力退出蓝牙耳机制造领域,全部交由歌尔声学代工,歌尔声学由此成为缤特力的首要战略供应商。

持有公司5%以上股份的股东怡通工、姜滨、姜龙承诺:
目前,本公司(本人)及本公司(本人)所控制的其他
企业不存在与歌尔声学主营业务构成竞争的业务。未来,
为了从根本上避免和消除与歌尔声学形成同业竞争的可
能性,本公司(本人)承诺如下:
1)本公司(本人)将不从事与歌尔声学相同或相近的业
务,以避免对歌尔声学的生产经营构成直接或间接的竞
争;保证将努力促使本公司的其他控股企业不直接或间
接从事、参与或进行与歌尔声学的生产、经营相竞争的
任何经营活动。
2)本公司(本人)及除歌尔声学以外本公司(本人)的
其他控股企业与歌尔声学之间存在有竞争性同类业务,
由此在市场份额、商业机会及资源配置等方面可能对歌
尔声学带来不公平的影响时,本公司(本人)及其除歌
尔声学以外本公司(本人)的其他控股企业自愿放弃与
歌尔声学的业务竞争。
3)本公司(本人)承诺给予歌尔声学对任何拟出售的资
产和业务优先购买的权利,并将尽最大努力促使有关交
易的价格是经公平合理的及与独立第三者进行正常商业
交易的基础上确定的。
4)本公司(本人)将不被限制从事或继续从事现有的生
产业务,特别是为歌尔声学提供其经营所需相关材料和
服务业。
自本承诺函出具日起,本公司(本人)司承诺,赔偿歌
尔声学因本公司违反本承诺任何条款而遭受或产生的任
何损失或开支。
